1. Agreement to Terms

By accessing or using AIGent ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and AIGent, a company registered in Switzerland ("we", "us", or "our").

2. Description of Service

AIGent is a platform that enables users to create, configure, and deploy AI-powered agents. The Service includes:

• AI agent creation and configuration tools
• Integration with third-party LLM providers (OpenAI, Anthropic, etc.)
• Knowledge base management and document processing
• API access for programmatic agent interactions
• Third-party service integrations (Google, Slack, etc.)

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to use the Service. By registering, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. Acceptable Use

4.1 Permitted Use

You may use the Service for lawful purposes in accordance with these Terms. You are responsible for ensuring that your use complies with all applicable laws and regulations.

4.2 Prohibited Use

You agree NOT to use the Service to:

• Generate illegal, harmful, threatening, abusive, or hateful content
• Create agents that impersonate real persons without consent
• Spread misinformation or deceptive content
• Violate intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems or data
• Circumvent usage limits or security measures
• Use automated means to scrape or extract data
• Resell or redistribute the Service without authorization
• Process sensitive personal data (health, biometric, etc.) without appropriate safeguards

5. User Content

5.1 Ownership

You retain ownership of all content you create, upload, or input into the Service ("User Content"), including agent configurations, prompts, documents, and chat messages.

5.2 License to AIGent

By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing the Service. This includes:

• Storing and displaying your content
• Transmitting content to LLM providers for AI processing
• Creating embeddings and indexes for knowledge bases

5.3 No Training Use

We do NOT use your User Content to train AI models. Your data remains private and is not shared for machine learning purposes.

5.4 Content Responsibility

You are solely responsible for your User Content and represent that:

• You have all necessary rights to the content
• The content does not violate any laws or third-party rights
• The content complies with our Acceptable Use policy

6. Subscription and Payment

6.1 Plans and Pricing

The Service is offered under various subscription plans as described on our pricing page. We reserve the right to modify pricing with 30 days' notice.

6.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Usage-based charges (API calls, tokens) are billed in arrears
• All fees are in CHF/USD/EUR as indicated and exclude applicable taxes

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

6.4 Free Trial

We may offer free trials at our discretion. At the end of a trial, you will be automatically enrolled in a paid plan unless you cancel.

7. Third-Party Services

7.1 LLM Providers

The Service integrates with third-party AI providers (OpenAI, Anthropic, etc.). Your use of AI features is also subject to the terms of these providers. We are not responsible for the availability or output quality of third-party AI services.

7.2 Integrations

When you connect third-party services (Google, Slack, etc.), you authorize us to access data from those services on your behalf. You must comply with the terms of those services.

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, code, and documentation, is owned by AIGent and protected by intellectual property laws. You receive no ownership rights in the Service itself.

8.2 Feedback

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use such feedback to improve the Service.

9. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted or error-free
• AI outputs will be accurate, complete, or suitable for your purposes
• The Service will meet your specific requirements
• Any defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss resulting from your reliance on AI-generated content

These limitations apply regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless AIGent and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time by deleting your account through the settings or contacting us.

12.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Create risk or legal exposure for us

12.3 Effect of Termination

Upon termination:

• Your right to use the Service ends immediately
• We may delete your User Content after a reasonable retention period
• Provisions that should survive (liability, indemnification, governing law) remain in effect

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use after changes constitutes acceptance.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

14.3 Consumer Rights

If you are a consumer in the EU/EEA, you may also have rights under the laws of your country of residence, which cannot be waived by contract.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AIGent regarding the Service.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
